Freedom Nation Terms and Conditions

These Terms are a legal agreement between you and us. Please read them carefully. By creating an account, or by ticking the box that says you agree, you accept these Terms, our Privacy Policy, our Refund Policy and our Community Guidelines.

1. Who we are

  • "We", "us" and "our" means GeniusCo Support Services, LLC, a Georgia limited liability company. We run the Freedom Nation platform and act as "Project Manager" under the Citizenship Teaming Agreement.
  • Land in Freedom Village Georgia I is offered by Muhammad Hunter Jugger, LLC, doing business as Freedom Nation ("MHJ"). When these Terms talk about land, "we" includes MHJ.

2. Who can join

  1. You must be at least 18 years old and able to make a binding contract.
  2. You may register from any country, but you may not use Freedom Nation if:
    • you are on a U.S. sanctions list; or
    • you are located in, or ordinarily resident in, a country or region under comprehensive U.S. sanctions. We screen every user (see section 12).
  3. You must give true, current information and keep it up to date.
  4. One account per person. Do not share your login.

3. How citizenship works

  1. Course. To become a citizen, you first complete our paid course ($99, with a $25 fee for each retake) and pass the certification.
  2. Teaming Agreement. You then sign the Citizenship Teaming Agreement and the Governance Addendum electronically. If those documents conflict with these Terms, those documents control on matters of citizenship and governance.
  3. Dues. Citizenship becomes active when you authorise and pay your first $35 monthly dues. See section 5.
  4. What citizenship includes. Access to citizen areas of the platform, community programs, voting under the Governance Addendum, and the chance to apply for land.

4. Ending citizenship

  1. If you do not hold land, you can cancel your citizenship at any time in the app, on the Payments screen (Payments › Cancel citizenship). You do not need to call or email us. Your dues stop at the end of the period you have already paid for, your access continues until then, and there is no partial refund.
  2. When your dues lapse, your citizen features, including voting, are suspended until you pay again.
  3. You may resign citizenship in the app, unless you hold land. If you hold a Unit Deed or have an active lease-purchase, the app will show "Contact us". This is because your land rights depend on membership under the Declaration of Condominium. Our team will explain your options:
    • transfer your unit to an eligible citizen;
    • surrender it back to inventory; or
    • keep it and stay a citizen. While you hold land, you cannot cancel your citizenship or your dues in the app. The Payments screen shows "Contact us" instead, and our team will help you with the options above.
  4. We may suspend or end your account if you seriously or repeatedly break these Terms or the Community Guidelines, if the law requires it, or if you fail OFAC screening. We will tell you why, unless the law prevents us, and you can appeal under the Community Guidelines.

5. Dues and payments

  1. Amount. Dues are $35 per month in U.S. dollars. No sales tax applies to dues.
  2. When we charge. We charge your first dues when your citizenship is activated, then on the 1st day of each month.
  3. Your authorisation. You authorise these recurring charges when you tick the dues authorisation box. They continue until you cancel.
  4. Card statement. Charges appear as FREEDOM NATION DUES.
  5. Cancellation. Cancel any time in the app on the Payments screen. Your dues stop at the end of the period you have already paid for. There is no partial refund for the rest of a month, and your access continues until the period ends. If you hold land, see section 4.3.
  6. Price changes. We will give you at least 30 days' notice of any price change by email and in the app. You may cancel before the change takes effect.
  7. Failed payments. If a payment fails, we will retry and tell you. Voting is suspended while dues are unpaid.
  8. Payment processors. Payments are processed by Stripe or invoiced through Zoho Books. You agree to their payment terms for processing.
  9. Disputes. If you think a charge is wrong, please contact us first. We keep records of your consent, your use and your device to respond to card disputes.

6. Course, events and marketplace

  1. Course.
    • The course costs $99, charged once. Each retake costs $25.
    • Access to course materials is for your personal use only and is tied to your account.
  2. Events.
    • Tickets are sold per event. Tickets for events held in Georgia include sales tax.
    • Each event states its refund rule before you buy, at checkout and on your ticket. The rule is set before tickets go on sale.
    • Unless the event says otherwise, you can get a full refund if you cancel at least 7 days before the event.
    • If we cancel the event, you get a full refund. If we change the date or venue in a material way, you can claim a full refund up to the new date.
    • Ticket transfer is not offered at this time.
  3. Marketplace.
    • Product pages show the price, tax (calculated at checkout) and delivery terms.
    • Refunds follow our Refund Policy.

7. Electronic records and signatures

You agree to receive records and sign documents electronically, as set out in our Electronic Records and Signatures Consent, which you accept separately. You may withdraw that consent and ask for paper copies at no charge. Some notices, including land default and termination notices, are also always sent to you by post.

8. Land in Freedom Village Georgia I

  1. Separate agreement. Land is offered only through a separate lease-purchase agreement with MHJ. That agreement controls if it conflicts with these Terms.
  2. Price and payment.
    • Each lot has its own price, with a minimum of $1,500.
    • You pay a $1,500 down payment when you sign.
    • You then either pay in full, or pay the balance over 12, 18 or 24 months with no interest. Payments are due on the 1st of each month.
    • There is no late fee.
  3. 7-day cancellation. You may cancel the lease-purchase agreement for a full refund until midnight of the 7th day after you sign. After that, the down payment is non-refundable, subject to the refund rule in section 8.5.
  4. Default. If a payment is missed, we will:
    • send reminders;
    • send a written Notice of Default and Right to Cure by email and post, giving you at least 30 days to pay or to accept a payment plan. Only after that, and with admin approval, can the agreement be terminated.
  5. If the agreement is terminated.
    • Your right to use the lot ends and the lot returns to inventory.
    • Payments you made are kept as rent and agreed damages, with one exception. If you had paid at least 15% of the lot price, we refund the amount you paid toward the price that is more than the greater of:
      • 15% of the price; or
      • our documented actual damages, including the fair rental value stated in your agreement.
  6. No taxes included. Your land payments do not include any tax. If a tax ever applies, we will tell you before charging it.

9. What a Unit Deed is, and is not

  1. When it is issued. When you have paid in full, MHJ issues you a Unit Deed under the Declaration of Condominium for Freedom Village Georgia I (recorded in Hancock County on 26 August 2022, DOC# 001397, as amended).
  2. What it gives you.
    • It confirms your exclusive rights of use of your unit.
    • It confirms your membership rights under the Declaration.
  3. What it does not do.
    • MHJ keeps legal title to the land as one tract.
    • The Unit Deed does not transfer ownership of land under Georgia property law.
    • It is not a subdivision of the land.
    • It is not recorded in the county land records.
  4. What can affect your rights.
    • Your rights depend on the Declaration and on MHJ's ownership.
    • They may be affected by MHJ's lenders, creditors, or a sale of the tract.
    • Ask your own lawyer if you want advice on what this means for you.
  5. Your obligations. You must follow the Declaration, as amended from time to time.
  6. Zoning and building. We make no promise about zoning, building permits, utilities, roads or future value. Check these with Hancock County before you build.

10. Your content and conduct

  1. Ownership and licence.
    • You own what you post.
    • You give us a non-exclusive, worldwide, royalty-free licence to host, store, display and distribute your content on the platform, so that we can run the service.
    • This licence ends when your content is deleted, except for copies we must keep by law or under our legal holds.
  2. Community Guidelines. You must follow the Community Guidelines. No illegal, threatening, harassing, hateful, sexually exploitative, infringing or fraudulent content, and no vote trading.
  3. Chat is not end-to-end encrypted. Administrators can access messages when needed for safety, moderation or legal reasons.
  4. Photos, voice and video keep embedded metadata, which can include your location (GPS).
    • We keep this information with the file and do not remove it. There is no option to remove location data. Every upload screen shows the notice "Photos and video can contain the place they were taken. We keep this information with the file." If you do not want to share a location, do not upload that photo or recording, or turn off location tagging in your camera settings before you record.
    • Only admins and the uploader can download originals.

11. Governance

  1. Community votes.
    • Community, constitutional (Freedom Nation Codex), election and poll decisions are made under the Governance Addendum.
    • Each citizen with paid-up dues has one vote and may delegate it.
    • You can take back a delegation at any time until the vote closes.
  2. Declaration votes. Matters reserved to unit owners by the Declaration of Condominium or the Georgia Condominium Act follow those rules instead:
    • votes per unit, not per citizen;
    • no delegation chains.

12. Sanctions screening

  1. When we screen.
    • We screen your name and details against U.S. government sanctions lists when you activate citizenship.
    • We screen again when you buy land.
    • We screen again whenever the lists are updated.
  2. Possible match. If there is a possible match, we pause the step while we review it. This normally takes up to 2 business days.
  3. Confirmed match. If the law requires it, we will block or reject the transaction, report it to the U.S. Treasury, and keep any funds blocked.

13. Intellectual property

The platform, course, brand, logos and materials belong to us or our licensors. You may not copy, resell or reuse them except as the platform allows.

14. Disclaimers

  1. No warranties. The platform is provided "as is" and "as available". To the extent the law allows, we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement.
  2. No professional advice. Community information is not legal, tax, financial or investment advice.
  3. No investment. Citizenship and land rights are not investments, and we make no promise of profit or return.

15. Limits on liability

  1. Excluded losses. To the extent the law allows, neither we nor MHJ are liable for indirect, incidental, special, consequential or punitive damages.
  2. Cap. Our total liability for any claim about the platform is limited to the greater of:
    • the amount you paid us in the 12 months before the claim; or
    • $100.
  3. Land claims. For land claims, liability is limited to the amounts you paid under your lease-purchase agreement.
  4. What this section does not limit. Nothing here limits liability that cannot be limited by law, including for fraud or wilful misconduct.

16. Disputes

  1. Talk to us first. Please contact us first. We will try to resolve the issue within 30 days.
  2. Governing law. Georgia law governs these Terms, without regard to its conflict-of-laws rules.
  3. Arbitration.
    • Any dispute that we cannot resolve goes to binding arbitration in Fulton County, Georgia, as set out in the Teaming Agreement. You may choose to take part by video.
    • For a consumer claim, we will pay all arbitration fees above the amount you would pay to file in court.
    • Either of us may instead bring an individual claim in small claims or magistrate court if it qualifies.
    • Matters about possession of land may be heard in the Magistrate Court of Hancock County.
  4. Individual claims only. Claims must be brought individually, not as a class, to the extent the law allows.
  5. Your local rights. If you live in a country whose law gives you rights that cannot be waived, those rights still apply.

17. Changes to these Terms

  1. Notice. We will give at least 30 days' notice of material changes by email and in the app.
  2. Your choice. If you keep using the platform after the change takes effect, you accept the new Terms. If you do not agree, you may cancel.
  3. Changes that need your signature. Changes to the Teaming Agreement, the Governance Addendum or a lease-purchase agreement need your signature as those documents require.

18. General

  1. Severability. If any part of these Terms is unenforceable, the rest still applies.
  2. No waiver. If we do not enforce a term, that is not a waiver.
  3. Assignment. You may not transfer your account. We may assign these Terms to an affiliate or successor and will tell you if we do.
  4. Notices. Notices go to the email address in your account and, where these Terms say so, by post.
